1. Application and Acceptance of the Terms
These Terms and Conditions apply to all users accessing or using the Trincos Platform. By continuing to use the website or any service provided by Trincos, you acknowledge that you have read, understood, and accepted these Terms in full. Trincos reserves the right to modify, update, or replace any portion of these Terms by posting the updated Terms on the Platform. Continued use after updates are published constitutes acceptance of the revised version. These Terms form a binding agreement between Trincos and all users, These Terms apply to buyers and platform users only. Distributors operate under separate commercial agreements with Trincos. Any additional or conflicting terms proposed by any user are expressly rejected unless agreed to in writing by Trincos.
2. Provision of Services
Trincos provides an international digital and e-commerce platform that enables users to purchase products and services offered by Trincos.
Trincos provides product listings, order processing interfaces, digital and physical delivery support, secure payment handling through authorized customer service coordination. Trincos processes payments in its own name and appears as the billing descriptor on customer transactions. All payments are processed by Trincos through authorized payment processors. Trincos collects payment from buyers and is responsible for fulfillment, shipping, regulatory compliance, and product warranties.
Product availability, pricing, shipping terms, and fulfillment conditions are determined solely by Trincos and may change without notice.
3. Users Generally
Users accessing the Trincos Platform must ensure lawful, responsible, and honest participation. Each user is responsible for complying with applicable rules within their jurisdiction. Users further agree to comply with all applicable United States export control and trade sanction laws and regulations.
Users shall not misuse platform features, attempt to manipulate systems, conceal identity, provide fraudulent information, or interfere with the technical operation of Trincos. Users must refrain from engaging in conduct that harms other buyers other buyers, customer support teams, or the functionality of the site. Trincos may apply monitoring mechanisms to detect suspicious activity and reserves the right to restrict service access to prevent misuse or preserve platform integrity.
4. Member Accounts
Users may be required to create a member account to access certain services including order placement, tracking, digital product retrieval, and communications. By creating an account, the user agrees to provide accurate information and maintain confidentiality of login credentials. All actions performed under a member account are the responsibility of the account holder.
Trincos must be notified immediately of unauthorized access or suspicious activity. Trincos may limit, suspend or terminate accounts that violate these Terms or engage in behavior that may compromise platform security or disrupt service operations. By creating an account, users consent to receiving electronic communications from Trincos, including agreements, notices, disclosures, and other communications related to user’s account and transactions. You agree that such electronic communications satisfy any legal requirement that such communications be in writing.
5. Member Responsibilities and Formation of Contract
Members agree to use the platform in a manner consistent with legal, ethical, and operational expectations. Members must ensure that all information provided whether related to identity, shipping address, billing details, or communication is accurate and current.
Submission of an order constitutes an offer by the buyer to purchase products. Trincos is the primary contracting entity to the transaction. Trincos may fulfill orders through independent third-party distributors. While distributors may handle product sourcing, packaging, and delivery logistics, Trincos remains responsible for order processing, payment handling, and customer transaction management. Members must not disrupt transactions, misuse refund systems, manipulate pricing, attempt unauthorized access, or interfere with fulfillment operations. Members are responsible for reviewing product details before placing orders and for ensuring compatibility or suitability of digital and physical products. The responsibility for securing downloaded digital content or storing access credentials lies solely with the user.
6. Breaches and Indemnification
If a user violates these Terms, Trincos may issue warnings, notifications, temporary access restrictions, permanent suspension, or account termination. Severe violations such as fraudulent transactions, repeated misuse, system manipulation, or attempts to harm the platform or its users may result in immediate removal without prior notice. Trincos may also retain transaction records, device data, and communication logs related to the breach to support internal investigations or compliance requirements. Trincos reserves the right to refuse service to any user whose behavior poses a risk to platform operations. Users agree to indemnify, defend, and hold harmless Trincos and its affiliates from any claims, damages, liabilities, costs, or expenses arising from breach of these Terms, misuse of products, violation of law, or infringement of third-party rights.
7. Sales Transactions and Order Processing
Trincos acts as a facilitating platform and acts as the merchant of record for transactions that provide technological, payment, and communication support. Distributors are responsible for accurate product information, proper packaging, timely delivery, warranty handling, and customer resolution related to their products. Buyers are responsible for reviewing product details before purchase, selecting appropriate shipping options, and providing accurate delivery information. Delivery terms and risk of loss shall be determined by the applicable distributor and may be governed by Incoterms. Unless otherwise specified, risk of loss transfers to the buyer upon delivery to the carrier. Prices exclude applicable taxes, duties, customs fees, and governmental charges, which remain the responsibility of the buyer. All payments must be made without deduction, setoff, or counterclaim. Payments are processed by Trincos in its own name using authorized payment processing providers. By completing a purchase, the buyer authorizes Trincos to charge the selected payment method for the full transaction amount, including applicable taxes and fees. Trincos is responsible for chargeback management and may recover chargeback-related losses, refunds, penalties, or processing fees from distributors pursuant to separate distributor agreements. Trincos will support both parties by mediating disputes, validating claims, assisting with order tracking, and ensuring fair handling of returns and refunds. All returns require prior authorization and compliance with distributor-issued Return Merchandise Authorization (RMA) procedures. Unauthorized returns may be rejected.
8. Disclaimer of Warranties
THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRINCOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
TRINCOS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, RELIABILITY, SAFETY, LEGALITY, OR QUALITY OF PRODUCTS OFFERED BY DISTRIBUTORS.
9. Limitation of Liability
Trincos provides the platform on an “as available” basis and does not guarantee uninterrupted service, error-free access, or flawless functioning. To the fullest extent permitted by applicable law, Trincos shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from platform use, digital delivery failures or transactions between buyers and distributors. Trincos shall not be liable for product defects, carrier delays, third-party service disruptions, or inaccuracies in distributor-provided information. TRINCOS’ TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (USD $100) OR THE AMOUNT OF SERVICE FEES PAID TO TRINCOS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Force Majeure
Trincos shall not be held responsible or liable for any failure or delay in performance caused by circumstances beyond reasonable control, including natural disasters, network or system failures, telecommunications disruption, strikes, lockouts, government restrictions, regulatory actions, global emergencies, severe weather events, transportation shutdowns, cyber incidents, supply chain disruptions, or failures by third-party service providers.
11. Notices
Trincos may communicate with users through email, platform notifications, account messages, or official announcements displayed on the website. Users are responsible for reviewing communications sent to their registered contact details. Any notice delivered electronically shall be considered legally effective once sent.
12. Dispute Resolution and Arbitration
Trincos encourages disputes to be settled through platform mediation first. Trincos will review evidence from both parties and provide fair resolutions If disputes cannot be resolved through internal mediation, they shall be resolved exclusively through binding arbitration conducted on an individual basis. Users waive the right to a jury trial and waive participation in any class action or representative proceeding.
13. No Agency Relationship
Nothing in these Terms creates any agency, partnership, joint venture, employment, franchise, or representative relationship between Trincos and any distributor or user. Each distributor operates independently and is solely responsible for its products, representations, regulatory compliance, and conduct.
14. General Provisions
These Terms represent the complete agreement between the user and Trincos regarding use of the Platform. If any provision is determined invalid or unenforceable, the remaining provisions remain in full force and effect. Users may not assign or transfer their account or rights under these Terms without written permission from Trincos. Trincos reserves the right to assign its rights and obligations to associated entities if necessary for operational continuity. Trincos shall not be liable for content or representations provided by distributors or users. Users agree to comply with applicable rules in their respective regions while accessing the platform. These Terms shall be governed by the laws of the State of North Carolina, without regard to conflict of law principles.
15. Returns, Refunds, and Cancellation
Returns and refunds are governed by the Trincos Return & Refund Policy and the applicable distributor’s return policy. Physical products may be eligible for return if damaged, defective, materially incorrect, or not as described, subject to distributor approval and applicable Return Merchandise Authorization (RMA) procedures. Digital products may qualify for refund only where delivery fails or access is demonstrably blocked. All return requests must comply with distributor-issued RMA requirements. Unauthorized returns may be rejected.
Distributors are solely responsible for evaluating and approving refund or return requests. Trincos may facilitate communication between parties but does not independently guarantee refunds or cancellations unless expressly required by law.
16. Tax Collection Clarification
Where required by applicable law, Trincos may collect and remit sales tax, value-added tax (VAT), goods and services tax (GST), or similar indirect taxes on transactions facilitated through the Platform. Buyers remain responsible for any customs duties, import taxes, or additional governmental charges not collected at checkout.
17. Suspension and Termination
Trincos may, at its sole discretion, restrict, suspend, or terminate access to the Platform or any user account at any time, with or without notice, if it determines that the user has violated these Terms, engaged in fraudulent or abusive conduct, created legal or regulatory risk, initiated excessive chargebacks, or otherwise acted in a manner that may harm Trincos, distributors, other users, or the integrity of the Platform. In cases involving suspected fraud, security threats, payment disputes, or legal compliance concerns, Trincos may take immediate action without prior notice. Upon suspension or termination, Trincos may cancel pending transactions, withhold settlement of funds where necessary to address chargebacks, refunds, investigations, or compliance requirements, and recover any amounts owed to Trincos. Termination shall not limit any rights or remedies available to Trincos under these Terms or applicable law. Provisions relating to indemnification, limitation of liability, dispute resolution, payment obligations, and any other provisions that by their nature should survive termination shall remain in full force and effect.
